Terms & Conditions

All references in the first person indicate any and all parties represented by Tracie du Toit, including herself and any other professionals who may be engaged by her to complete the scope of work.


Rights

All creative works remain the Intellectual Property of Tracie du Toit. Unless we have signed a Non Disclosure Agreement to the contrary, we reserve the right to reproduce and showcase our work in online or print portfolios, social platforms, advertising, exhibitions, contests or any other form of self promotion, under any brand/trade names we may employ currently or in future. This also applies in the event that partial or no payment was received.

Unless otherwise instructed and agreed, we reserve the right to showcase aspects of a project before it is completed in online or print portfolios and social platforms, for the purpose of self-promotion.


File sharing:

All final files will be placed in an online cloud folder, and client will be provided a link for access to download.

Print-ready and digital files will be provided to the client in pdf, png, jpeg, svg formats, as needed.

Open source files for logos, illustration and other vector brand assets will be provided.

Open source files for brand guides and other  proprietary working files will only be provided at our discretion, and at an additional fee.

Licensed fonts will not be shared.

Licensed stock graphics will not be shared.

Licensed materials will only be used with Client’s approval. Client will be responsible to purchase these licenses, to retain rights of usage. 

All files will be transferred after final payment.


Fees

Revisions exceeding those set out in Proposals or Fee Estimates will be billed as Additions. 

Fees include all calls, meetings, workshops, presentations, brainstorms and consults relating to the project and initiated by us. 

Fees for any additional time requested by the client may be waived at our discretion, or billed as Additions.

Any third party fees are are excluded, unless explicitly stated in Proposal or Fee Estimate, including but not limited to, printing, online hosting, stock images, font licenses.


Kill fee

Provided that we have executed the assignment in a professional and competent manner, all payments are due regardless of whether Client likes and/or uses the final images/artwork.



Errors and omissions

Client is responsible for proofing all material to check for all manner of errors and omissions before printing / go-live / completion of the project.


Printing

Unless otherwise specified in our scope of work, all our products will be limited to non-tangible services and digital files only. Unless we have been clearly instructed and hired to do so, Client is responsible for procuring and managing any printing. We recommend that Client run test-prints before final printing, to check colour, legibility, sizing, paper etc. If any flaws or errors are noticed at the time of printing, Client or Client’s vendor may request from us necessary adjustments to the digital files. We are not liable for any loss or damages from printing, for any reason whatsoever.


Limitation of liability

If we are unable to supply our services due to illness, mechanical breakdown, delayed flights, accidents, acts of God, unfavourable weather, equipment malfunction, theft or damage of electronic files, or any other cause beyond our control, then we will attempt to reschedule the the project if possible, or procure the services of another provider to fulfill our obligations. If that does not succeed, we will return any fees paid by Client and will have no further liability for any other damages beyond this amount.

We are not liable for any loss or damages, financial or otherwise resulting from the interruption or incompletion of our work.
